TERMS OF SALE

Effective date: September 14, 2026

These Terms of Sale apply to purchases from Valentini Music Instruments. By placing an order, paying a deposit or approving an order specification, the customer agrees to these terms.

1. Orders and Acceptance

Submitting an order form or custom-order request does not guarantee acceptance. An order becomes binding when Valentini Music Instruments confirms it in writing and receives the required deposit.

The written order confirmation will identify the model, specifications, finish, price and estimated lead time. Customers are responsible for reviewing and approving these details before construction begins.

2. Pricing and Taxes

All prices are stated in U.S. dollars. Applicable sales tax, shipping and other approved charges will be added to the order unless expressly included in the written quotation.

Valentini Music Instruments may correct pricing or specification errors before accepting an order. If an error is discovered after payment, the customer may approve the correction or cancel the order for a refund.

3. Deposit and Final Payment

A deposit equal to 50% of the total order price is required to reserve production time and begin purchasing materials. Once the order has been accepted and material procurement or construction has begun, the deposit is nonrefundable to the extent permitted by law.

The remaining balance, including applicable taxes and shipping charges, must be paid in full before the amplifier is shipped or released for pickup. Production and delivery may be delayed if payments are not received when due.

4. Order Changes

Requested changes must be submitted in writing and are subject to approval. Changes may affect the price, lead time, appearance, performance or availability of the amplifier.

Once materials have been ordered or construction has begun, some changes may not be possible. Any additional cost must be approved and paid before the revised work proceeds.

5. Cancellations

Made-to-order amplifiers may be cancelled only by written request. If cancellation occurs after the order has been accepted and material procurement or construction has begun, the deposit will not be refunded to the extent permitted by law.

If Valentini Music Instruments cancels an accepted order, all payments received for the uncompleted order will be refunded.

6. Lead Times

All quoted completion and delivery dates are estimates based on current production schedules, component availability and the specifications of the order. Custom requests or supplier delays may extend the estimated lead time.

If an order cannot be shipped within the stated timeframe, Valentini Music Instruments will notify the customer and provide a revised estimate or any cancellation and refund options required by applicable law.

7. Handmade Products

Each amplifier is individually built and finished by hand. Minor variations in coverings, grille cloth, wood grain, color, texture, stitching and other cosmetic details are natural characteristics of a handmade product and are not considered defects.

Specifications may change when a component becomes unavailable, but no substitution that materially changes the amplifier’s agreed performance or appearance will be made without the customer’s approval.

8. Shipping and Delivery

The customer is responsible for shipping and handling charges unless otherwise stated in writing. Shipping costs will be quoted and added to the final balance.

The customer is responsible for providing a complete and accurate delivery address. Additional expenses caused by an incorrect address, refused delivery or unsuccessful delivery attempt may be charged to the customer.

Customers should inspect the package and amplifier promptly after delivery. Visible shipping damage should be documented with photographs of the carton, packing materials and amplifier and reported immediately to the carrier and Valentini Music Instruments. Reporting damage promptly helps preserve available carrier claims and does not limit any rights provided by law.

Risk of loss passes to the customer upon confirmed delivery to the address provided with the order.

9. Returns

Because Valentini amplifiers are built to order, all sales are final. Returns or exchanges based on personal preference, appearance, volume, tonal preference or a change of mind are not accepted.

This policy does not limit coverage for verified shipping damage, defects covered by the Limited Warranty or rights that cannot legally be waived. No product may be returned without prior written authorization from Valentini Music Instruments.

10. Limited Warranty

Amplifiers are covered by the Valentini Music Instruments Five-Year Limited Warranty. Tubes, speakers and reverb tanks are covered for 90 days from the original purchase date.

The complete warranty, including its coverage, exclusions and service procedures, is incorporated into these Terms of Sale and is available before purchase at [insert warranty-page link].

11. Proper Use and Safety

Customers must operate the amplifier according to its owner’s manual, safety instructions and specified electrical and speaker-load requirements. Damage caused by misuse, improper voltage, incorrect speaker impedance, inadequate ventilation, liquid exposure, unauthorized modifications or improper service is not covered by the Limited Warranty.

Tube amplifiers contain potentially lethal voltages even when switched off and unplugged. The chassis should be opened only by a qualified service technician.

12. Limitation of Liability

To the fullest extent permitted by law, Valentini Music Instruments will not be liable for indirect, incidental, special or consequential damages arising from the purchase, ownership or use of an amplifier.

Valentini Music Instruments’ total liability relating to an order will not exceed the amount paid for the product giving rise to the claim. These limitations do not apply where prohibited by law.

13. Events Beyond Our Control

Valentini Music Instruments is not responsible for delays caused by circumstances reasonably beyond its control, including supplier shortages, transportation disruptions, natural disasters, utility failures, labor interruptions or government actions. The customer will be notified if such an event materially affects the order.

14. Governing Law

These Terms of Sale are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute relating to an order will be resolved in a court of competent jurisdiction located in Los Angeles County, California, unless applicable law requires otherwise.

15. Entire Agreement

The order confirmation, approved specifications, invoice, Limited Warranty and these Terms of Sale constitute the agreement between the customer and Valentini Music Instruments.

Any amendment must be confirmed in writing by Valentini Music Instruments. If an order confirmation expressly conflicts with these general terms, the order confirmation will control for that specific order.

16. Changes to These Terms

The Terms of Sale in effect when an order is accepted will govern that order. Later website revisions will not retroactively change an accepted order unless both parties agree in writing.
